Terms of Service

These Terms of Service ("Terms") govern your access to and use of LumiWeb websites, software products, APIs, modules, and support services (collectively, the "Service"). By creating an account, placing an order, or using the Service, you agree to these Terms.

1. Contracting Party and Scope

  • Service provider: LumiWeb, London, United Kingdom.
  • General contact: support@lumiweb.co.uk.
  • Legal contact: legal@lumiweb.co.uk.

If checkout states that a third party is the Merchant of Record (for example Paddle), your payment contract is also subject to that provider's buyer terms and payment rules. These Terms continue to apply to your use of the Service.

2. Eligibility and Authority

  • You must be at least 18 years old and legally able to enter contracts.
  • If you register on behalf of an organization, you confirm authority to bind that organization.
  • You must provide accurate, complete, and current registration and billing details.
  • You are responsible for account security, access roles, and credential confidentiality.

3. Order Flow and Contract Formation

  • Pre-contract information is provided before you place an order.
  • Your order is an offer; the contract is formed when payment is authorized and confirmation is sent.
  • We may reject, cancel, or hold orders linked to fraud, sanctions, or compliance concerns.
  • You must ensure email deliverability for invoices, notices, and legal communications.

4. Subscriptions, Trials, Renewals, and Pricing

  • Plans are billed in advance on the cycle shown at checkout (monthly or yearly).
  • Free trials convert to paid subscriptions unless cancelled before the trial end time.
  • Subscriptions auto-renew until cancelled via the provided billing controls or support channels.
  • Price changes apply prospectively; material increases are notified in advance where required by law.
  • All prices, taxes, and currency details shown at checkout are part of the order terms.

5. Payment Methods and Provider Terms

We may offer card payments and alternative methods such as Apple Pay, Google Pay, Paddle Checkout, Stripe-enabled methods, and other provider-enabled rails. Method availability depends on country, device, browser, issuer, risk checks, and provider rules.

  • You authorize recurring charges for subscription renewals until cancellation takes effect.
  • Strong Customer Authentication (SCA), 3DS, issuer checks, and fraud controls may be required.
  • Failed payments may trigger retries, service limitation, or subscription suspension/cancellation.
  • Use of a payment method also binds you to that method/provider's own terms and acceptable-use rules.
  • Transactions flagged as abuse, fraud, or unauthorized use may be blocked or reversed.
  • For App Store distributions, the app is licensed (not sold) under the applicable Standard EULA or Custom EULA.
  • Where required by local law, Apple App Providers are responsible for maintenance and support of third-party apps.
  • For App Store third-party apps, Apple may act as a third-party beneficiary of the applicable app license terms.

6. Consumer Cancellation Rights (UK/EU)

If you are a consumer located in the UK, EU, or EEA, distance-selling rules may give you a 14-day withdrawal period from contract conclusion, subject to legal exceptions.

  • To exercise withdrawal rights, contact billing@lumiweb.co.uk or legal@lumiweb.co.uk.
  • If you request immediate service start and explicitly acknowledge withdrawal-right loss where legally applicable, exceptions may apply.
  • For services performed before withdrawal, proportionate charges may apply where law permits.
  • Statutory consumer rights remain unaffected.

7. Refunds and Billing Disputes

Refund handling is governed by our Refund Policy, applicable law, and payment-provider obligations. Do not initiate duplicate claims across channels.

  • Duplicate charges and billing errors must be reported promptly.
  • Chargebacks may result in temporary account limitation during investigation.
  • Fraudulent chargebacks or payment abuse may lead to termination and evidence submission to payment networks.

8. Acceptable Use and Prohibited Conduct

  • No unlawful activity, sanctions evasion, money laundering, fraud, abuse, or deceptive conduct.
  • No malware, unauthorized access attempts, scraping abuse, or security testing without written approval.
  • No infringement of intellectual property, privacy rights, or confidentiality obligations.
  • No use of the Service for prohibited goods, prohibited services, or restricted high-risk categories.
  • No export/re-export or restricted-person use in violation of applicable trade and sanctions laws.

9. Customer Data, Privacy, and Compliance

  • Processing of personal data is described in our Privacy Policy.
  • You are responsible for lawfulness of your uploaded business data and user notices/permissions.
  • You must not upload data you are not legally entitled to process or transfer.
  • We may apply technical, organizational, and contractual controls to support UK/EU compliance.

10. Intellectual Property and License

  • LumiWeb and its licensors retain all rights in the Service, software, branding, and documentation.
  • We grant you a limited, non-exclusive, non-transferable license for internal lawful use during an active subscription.
  • You may not copy, reverse engineer, sublicense, or commercially exploit the Service outside permitted use.

11. Availability, Maintenance, and Security Operations

  • Service may be interrupted for maintenance, upgrades, emergency fixes, or third-party outages.
  • We may enforce security controls, rate limits, and abuse protections.
  • You must notify suspected incidents to security@lumiweb.co.uk without delay.

12. Suspension and Termination

  • You may cancel at any time; cancellation stops future renewals and does not retroactively void lawful charges.
  • We may suspend or terminate access for breach, payment default, fraud risk, legal obligations, or security threats.
  • After termination, access may be revoked and data handling proceeds under retention and legal requirements.

13. Liability Framework

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including mandatory consumer protections.

  • To the maximum extent permitted by law, indirect, consequential, punitive, and special damages are excluded.
  • Aggregate liability for claims arising from the Service is limited to fees paid for the relevant Service period, unless mandatory law states otherwise.
  • You remain liable for misuse of credentials, unlawful content, and breach of these Terms.

14. Governing Law and Dispute Venue

  • For business customers, these Terms are governed by the laws of England and Wales, with exclusive jurisdiction in its courts.
  • For App Store Standard EULA matters, Apple-specific governing-law/forum rules apply; for EU, Switzerland, Norway, or Iceland users, this may be the law and courts of usual residence as stated by Apple.
  • For consumers, mandatory rights and mandatory local forum protections remain unaffected.
  • Before formal proceedings, parties should first attempt resolution through the listed legal/billing contacts.

15. Updates to These Terms

  • We may update these Terms to reflect legal, regulatory, security, or product changes.
  • The revision date on this page is the authoritative effective version timestamp.
  • Continued use after an update effective date means acceptance of revised Terms, subject to mandatory law.
